Terms of Service

These Terms of Service (the "Terms") set out the conditions for using the stop alarm app CluckAlarm and its related websites (together, the "Service") provided by xperiy ("we", "us").

This English version is a translation. If it differs from the Japanese version, the Japanese version prevails.

1. Scope and agreement

These Terms apply between us and everyone who uses the Service ("you").

By tapping "Get started" on the app's first screen, or by using the Service, you agree to these Terms and our Privacy Policy (https://cluckalarm.com/en/privacy/ ).

If you are a minor, please use the Service with the consent of a parent or legal guardian.

2. The Service and your account

The Service uses your device's location to alert you with sound, vibration and notifications as you approach a destination you set.

An anonymous account is created automatically when you finish setting up the app. Linking an Apple or Google account (Google only on Android) is optional.

You are responsible for your device and account. If you sign out without linking an Apple or Google account, your account and server data are deleted and cannot be recovered. If you sign out while an account is linked, your server data is kept.

3. Nature of the Service and precautions

The Service is an aid to help you avoid missing your stop. It does not guarantee that it will wake you or that you will get off at your destination.

The alarm may be late or may not sound because of, for example:

  • Reduced GPS accuracy, or being unable to get a location underground, in tunnels or inside buildings
  • Location permission other than "Always" ("Allow all the time" on Android), or a flat battery
  • Restrictions imposed by the operating system or device, such as Low Power Mode on iOS, battery optimisation or battery saver on Android, or manufacturer-specific app killers
  • Device volume, silent, Focus or Do Not Disturb modes, notification or full-screen notification permissions, or the state of your earphones or speaker
  • Your wake-up distance, the route or vehicle speed, or device faults

The Service works as follows:

  • The alarm is based on the wake-up distance you set. To allow for location delays, it may start ringing slightly before that distance (about 100–200 m).
  • It does not check your position while location accuracy is poor (roughly worse than 100 m), so the alarm may be late or may not sound.
  • If you keep moving away after passing your destination, it treats the stop as missed and stops the alarm.
  • If you do not respond, the alarm stops automatically after 15 minutes.
  • If the app is closed or your device restarts, watching can resume only within 6 hours of starting, and only with "Always" location permission.
  • On iOS, when the app has been closed it may alert you with a notification only, and that notification sound follows your silent switch.
  • On Android, the alarm may not make a sound in Do Not Disturb mode or when the alarm volume is 0. Without full-screen notification permission, it appears as a normal notification.
  • While watching, your destination's name is shown on the lock screen, where others may see it.

When you first use the app or change settings, check the sound and vibration with the in-app test. The test only checks sound and vibration while the app is open, not behaviour with the screen off or through notifications. For important plans, use another method as well.

Please set the volume and wake-up style so you do not disturb others.

Do not operate the Service while driving, cycling or walking.

4. Paid plans

We may offer some features of the Service as paid plans.

Paid plans are purchased and paid for through the App Store or Google Play, and that store's terms apply.

Auto-renewing subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. Cancel in your store account settings. Deleting the app does not cancel a subscription.

Refunds follow each store's policies. Except where the law requires, we do not give refunds.

We may change the price or content of paid plans after giving notice in advance.

5. Advertising

The Service may show ads from us or third parties. We are not responsible for the content of ads or for any dealings between you and advertisers.

6. Prohibited conduct

You must not:

  • Break the law or act against public order and morals
  • Place excessive load on, or interfere with, the Service or anyone else's servers or networks
  • Analyse or modify the Service beyond what the law allows, or access it by unauthorised means
  • Impersonate others or infringe their rights
  • Misuse the contact form or send messages in bulk
  • Redistribute or sell the Service for commercial purposes without our permission
  • Do anything else we reasonably judge to be inappropriate

7. Intellectual property

All rights in the software, design, character (Cocco), text, images and other content of the Service belong to us or their rightful owners. These Terms do not grant you any rights beyond personal use of the Service.

8. Changes, interruptions and termination

We may add or change features, or suspend or end the Service. If we end the Service, we will give reasonable notice in the app or on our website.

We may interrupt the Service temporarily without notice for maintenance, outages, natural disasters, third-party service outages or other unavoidable reasons.

9. Suspension

If you breach these Terms, we may suspend your use of the Service or delete your account without prior notice.

10. Disclaimer and limitation of liability

We do not guarantee that the Service will suit your particular purpose, be accurate, be continuously available or be free of defects.

We are not liable for losses you suffer from missing your stop, being late, extra fares or travel costs, or changed plans, except where caused by our wilful misconduct or gross negligence.

If you suffer loss through our negligence (other than gross negligence), our liability is limited to direct and ordinary damages, up to the greater of the amount you paid for the Service in the 12 months before the loss arose and JPY 10,000.

Where consumer protection or other laws prevent any part of this section from applying, those laws prevail.

11. Your information

We handle your information in accordance with our Privacy Policy.

12. Changes to these Terms

We may change these Terms under Article 548-4 of the Civil Code of Japan. We will announce the changes and their effective date on this page a reasonable time before they take effect.

13. Additional terms for app stores

(1) App Store (iOS)

If you obtained the iOS app from the App Store, the following also applies.

  • These Terms are between you and us, not Apple Inc. ("Apple"). We, not Apple, are responsible for the Service and its content.
  • Apple has no obligation to provide maintenance or support for the Service.
  • If the Service fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation for the Service.
  • We, not Apple, are responsible for addressing any claims relating to the Service, including product liability, failure to meet legal or regulatory requirements, consumer protection claims, and claims that the Service infringes a third party's intellectual property rights.
  • You represent that you are not located in a country subject to a US Government embargo and are not listed on any US Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, have the right to enforce them against you.

(2) Google Play (Android)

If you obtained the Android app from Google Play, the following also applies.

  • These Terms are between you and us, not Google LLC ("Google"). We, not Google, are responsible for the Service and its content.
  • Google Play's terms of service and policies apply to obtaining the app and to purchasing, paying for and getting refunds for paid plans.
  • Google has no obligation to provide maintenance or support for the Service. Please contact us with any questions about the Service.

14. Governing law and jurisdiction

These Terms are governed by the laws of Japan.

Disputes relating to the Service are subject to the exclusive jurisdiction, at first instance, of the district court with jurisdiction over our place of business. This does not affect any rights consumers have under applicable law regarding jurisdiction.
